Article X. PINE COUNTRY EDUCATION CENTER DISTRICT |
§ 16-252. Pine Country Education Board of Commissioners.
(a)
Pursuant to Louisiana Revised Statute 40:1552, the Pine Country Education Center Board of Commissioners is hereby created. This board shall consists of five (5) members, all of whom shall be qualified voters of Webster Parish, and all of whom shall be appointed by the Webster Parish Police Jury. It shall take three (3) commissioners to constitute a quorum at any meeting. Majority vote shall determine any issue before the board. Notice of all meetings shall be given at least ten (10) days in advance. Telephonic meetings are authorized.
(b)
Each board of commissioner shall serve a three-year term. The terms shall be staggered so that after the initial appointment of the board of commissioners, no more that two (2) commissioners shall be appointed by the police jury in any calendar year, absent a vacancy.
(c)
Any vacancies shall be filled for the remainder of the unexpired term in the same manner as the original appointment. A majority vote of the Webster Parish Police Jury shall fill any vacancy or make any appointment to the board. Any commissioner may be removed from office for cause and his appointment rescinded by a two-thirds vote of the Webster Parish Police Jury.
(d)
The first meeting of the board of commissions shall be within sixty (60) days of the appointment of all five (5) commissioners, and at that time, a chairman and vice chairman of the board shall be elected by a majority vote of the board of commissioners. Thereafter, the board of commissioners shall hold a minimum of three (3) meetings annually.
(e)
Liability. No board of commissioner [member] or officer shall be personally liable to the Pine Country Education Center District, its members, or any third party for breach of a fiduciary duty or for simple or gross negligence in management of the district. The board of commissioners and officers of the district shall have no personal liability for any actions, inaction or decisions, to the most liberal extent allowed by Louisiana law.
(f)
Indemnification. The Pine Country Education Center District shall indemnify any board of commissioner [member] or officer for any judgments, settlements, penalties, fines costs, expenses or attorney's fees, which are incurred directly or indirectly, because he/she is or was a commissioner or officer, except for intentional wrongful acts or criminal conduct.
